AI Usage Terms
These AI Usage Terms (“AI Terms”) govern your use of artificial intelligence and machine-learning features integrated into Taskploy, including our websites, applications, APIs, and related services (collectively, the “Services”), provided by Taskploy Technologies Inc. (“Taskploy,” “we,” “us,” or “our”).
These AI Terms supplement our Terms of Service, Privacy Policy, Acceptable Use Policy, and Usage-Based Billing Terms. Capitalized terms not defined here have the meanings given in the Terms.
By enabling or using AI Features, you agree to these AI Terms. If you do not agree, you must not use AI Features.
Available AI Features may vary by subscription plan, enabled modules, region, and product configuration.
1. Definitions
In these AI Terms:
- “AI Features” means functionality that uses artificial intelligence, machine learning, or similar automated systems to generate, summarize, classify, recommend, or otherwise process information within the Services.
- “Input” means prompts, content, data, files, or other information you submit to an AI Feature.
- “Output” means content, suggestions, classifications, summaries, or other results generated by an AI Feature in response to Input.
- “Customer Data” has the meaning given in the Terms.
2. Description of AI Features
Taskploy integrates AI Features to assist with activities such as:
- drafting emails, messages, or documents;
- summarizing records, tickets, or conversations;
- categorizing or tagging information;
- suggesting next actions or workflow steps;
- answering routine business questions;
- supporting customer or employee self-service; and
- powering automation or routing decisions configured by the Customer.
AI Features are assistive tools within the Services. You decide which features to enable within your plan and how to apply Output within your organization.
3. No Professional Advice
Output is generated automatically and may be incomplete, inaccurate, outdated, biased, or inappropriate for a particular purpose.
AI Features do not provide legal, financial, tax, medical, employment, or other regulated professional advice. Output is not a substitute for qualified human judgment.
You must review Output before relying on, publishing, sending, or acting on it—especially for decisions affecting finances, employment, contracts, compliance, health, safety, or individual rights.
4. Customer Responsibilities
You are responsible for:
- determining whether use of AI Features is appropriate for your business and jurisdiction;
- ensuring Input and use of Output comply with applicable law and the Acceptable Use Policy;
- obtaining rights and consents necessary to submit Input, including Personal Information;
- implementing human review where required for high-risk decisions;
- disclosing AI-assisted interactions to end users where required by law or your policies; and
- not representing Output as human-generated where misrepresentation is prohibited.
5. Acceptable Use of AI Features
You must not use AI Features to:
- generate unlawful, fraudulent, deceptive, or harmful content;
- create malware, exploit code, or instructions for wrongdoing;
- harass, discriminate against, or defame individuals;
- impersonate individuals without authorization or disclose sensitive personal data without a lawful basis;
- make solely automated decisions about individuals where prohibited by law without appropriate safeguards;
- attempt to extract confidential model weights, system prompts, or security information;
- benchmark or compare Taskploy AI systems for competitive model training without written consent; or
- circumvent usage limits, safety controls, or plan entitlements.
6. Input and Output Ownership
As between the parties, you retain ownership of Customer Data submitted as Input, subject to the Terms.
To the extent permitted by law and third-party provider terms, Taskploy assigns to you its rights, if any, in Output generated specifically for you through the Services, except for Taskploy’s underlying models, software, templates, and pre-existing intellectual property.
You acknowledge that similar or identical Output may be generated for other users given similar Input, and that Output may not be unique.
You grant Taskploy a limited license to process Input and Output as necessary to provide, secure, maintain, and improve the AI Features in accordance with these AI Terms, the Privacy Policy, and the DPA.
7. Training and Model Improvement
Unless expressly disclosed otherwise in your account, Order Form, or a product-specific notice:
- Taskploy does not use Customer confidential data to train general-purpose third-party foundation models for unrelated purposes; and
- Taskploy may use de-identified or aggregated usage data to improve reliability, safety, and performance of the Services.
Enterprise Customers may request contractual restrictions or opt-outs regarding model improvement uses by contacting legal@taskploy.com.
If we introduce optional features that use Customer Data for broader model training, we will disclose that practice and obtain consent or provide an opt-out where required by law.
8. Third-Party AI Providers
Taskploy uses third-party AI providers to deliver certain AI Features. Input may be transmitted to those providers for processing according to the feature design and your configuration.
Provider terms, data handling practices, and geographic processing locations may apply in addition to Taskploy’s Privacy Policy and Data Processing Agreement.
Taskploy selects providers with contractual safeguards appropriate to the nature of the service but does not control independent changes to provider systems.
9. Privacy and Personal Information
If Input contains Personal Information, you must have a lawful basis to submit it and must comply with applicable privacy laws.
Taskploy processes Personal Information in AI Features as described in the Privacy Policy and DPA. Minimize Input to what is necessary for the requested task.
Do not submit special categories of sensitive information to AI Features unless your use is lawful, necessary, and appropriately secured.
10. Usage Limits and Billing
AI Features are subject to plan entitlements, rate limits, fair-use policies, and applicable usage-based billing. Current limits and rates are disclosed in your account and on the Pricing page.
We may throttle or suspend AI Features if usage exceeds reasonable limits, threatens platform stability, or violates these AI Terms.
11. Beta and Preview Features
From time to time, Taskploy may release new AI capabilities labeled beta, preview, experimental, or similar. Those features may be less reliable, change frequently, or be modified or withdrawn as we refine them.
Beta AI Features are provided “as is” to the maximum extent permitted by law and may be excluded from service-level commitments unless stated in an Order Form.
12. Safety and Monitoring
Taskploy may apply automated and human review mechanisms to detect abuse, enforce these AI Terms, and improve safety. Such review is limited to what is reasonably necessary and subject to applicable law and contractual confidentiality obligations.
13. Disclaimer
AI Features are provided as assistive tools. To the maximum extent permitted by law, Taskploy disclaims warranties that Output will be accurate, complete, current, unbiased, or fit for a particular purpose.
Nothing in this section limits warranties that cannot legally be excluded.
14. Limitation of Liability
Taskploy’s liability arising from AI Features is subject to the limitation of liability in the Terms. Taskploy is not liable for decisions you make based on Output without appropriate review.
15. Suspension
We may restrict or disable AI Features if we reasonably believe your use violates these AI Terms, the Acceptable Use Policy, provider rules, or applicable law.
16. Changes
We may update these AI Terms as AI capabilities, providers, laws, and safety practices evolve. Material changes will be communicated as described in the Terms.
