Terms of Service
These Terms of Service (“Terms”) govern access to and use of Taskploy, including our websites, web and mobile applications, software, APIs, integrations, communications tools, artificial intelligence features and related services (collectively, the “Services”).
The Services are provided by Taskploy Technologies Inc. (“Taskploy,” “we,” “us,” or “our”).
By creating an account, purchasing a subscription, accepting an Order Form, or accessing or using the Services, you agree to these Terms.
If you are using the Services on behalf of a company, organization or other legal entity, you represent that you have authority to bind that entity to these Terms. In that case, “Customer,” “you,” and “your” refer to that entity.
If you do not agree to these Terms, you must not access or use the Services.
1. About Taskploy
Taskploy is a business operations platform designed to help organizations manage activities including tasks, projects, customers, vendors, sales, expenses, invoicing, payments, employees, payroll-related processes, leave, attendance, marketing, communications, automation, reporting and other supported business workflows.
Available functionality may vary depending on:
- your subscription plan;
- your location;
- enabled modules;
- third-party integrations;
- supported payment, communication or AI providers; and
- product availability.
We may add, change or discontinue features in accordance with these Terms.
2. Eligibility and Authority
You may use the Services only if:
- you are legally capable of entering into a binding agreement;
- you provide accurate account and billing information;
- your use of the Services complies with applicable law; and
- if you act on behalf of an organization, you have authority to accept these Terms for that organization.
The Services are primarily intended for businesses and organizations.
You may not create an account using false information, impersonate another person or organization, or use the Services after your access has been suspended or terminated unless Taskploy expressly authorizes you to do so.
3. Accounts and Administrators
You may need to create a Taskploy account to use the Services.
You are responsible for:
- maintaining accurate account information;
- protecting usernames, passwords and authentication credentials;
- controlling who is invited to your workspace;
- assigning appropriate roles and permissions;
- removing access when users no longer require it; and
- activity performed through accounts under your control.
You must notify us promptly if you believe an account has been compromised or accessed without authorization.
Account Administrators
A Customer may designate one or more administrators.
Administrators may be able to:
- invite or remove users;
- configure modules;
- assign roles and permissions;
- access Customer Data;
- configure workflows;
- manage billing;
- connect integrations; and
- perform other administrative actions.
You are responsible for selecting appropriate administrators and managing their access.
4. Subscription Plans
Certain Services require a paid subscription.
Subscription features, usage allowances, user limits and prices are described on our Pricing page, applicable Order Form or other purchasing documentation.
We may offer:
- monthly subscriptions;
- annual subscriptions;
- trials;
- promotional pricing;
- enterprise agreements; and
- usage-based services.
Your subscription begins when stated during checkout or in your applicable Order Form.
Unless otherwise stated, paid subscriptions automatically renew for successive billing periods until cancelled in accordance with these Terms.
5. Fees and Payment
You agree to pay all fees associated with your subscription and use of paid Services.
Fees may include:
- subscription charges;
- additional user charges;
- usage-based charges;
- communication charges;
- AI usage;
- telephone or messaging charges;
- storage overages;
- payment-processing fees;
- integration charges; or
- other charges disclosed before use.
Unless stated otherwise, fees are exclusive of applicable taxes.
You authorize Taskploy and its payment providers to charge your selected payment method for amounts due.
You are responsible for maintaining valid billing and payment information.
Failed Payments
If payment cannot be completed, we may:
- retry the payment;
- notify your account administrator;
- restrict certain paid features;
- suspend access; or
- terminate the affected subscription after reasonable notice.
You remain responsible for amounts properly incurred before suspension or termination.
6. Annual Billing
Where available, Customers may choose annual billing.
Annual plans may be priced differently from monthly plans and may include a discount.
The applicable:
- subscription price;
- billing period;
- renewal date;
- cancellation rules; and
- refund eligibility
will be disclosed during purchase or in your Order Form.
Unless otherwise expressly stated, changing or cancelling an annual subscription does not automatically create a right to a prorated refund for the unused portion of the subscription term.
Any rights that cannot legally be excluded remain unaffected.
7. Trials and Promotional Offers
We may provide free trials, promotional pricing or other offers.
Self-serve plans currently include a 14-day free trial on Standard, Professional and Ultimate. A valid payment card is required at signup. Trial periods and other conditions are disclosed when the offer is made.
Unless otherwise stated:
- trial features may be limited;
- usage limits may apply;
- trial data may be subject to retention limits after the trial ends;
- if you do not cancel before the trial ends, your subscription converts to a paid plan and your payment method is charged at the disclosed rate; and
- usage-based charges incurred during the trial may be billed separately.
We may modify or withdraw promotional offers at any time, provided doing so does not improperly alter a promotion already accepted by you.
8. Usage Limits and Overages
Subscription plans may include limits relating to:
- users;
- companies or workspaces;
- contacts;
- storage;
- workflows;
- automation runs;
- messages;
- emails;
- phone calls;
- AI usage;
- API requests; or
- other measurable services.
If you reach or exceed a limit, we may notify you and provide available options.
Depending on the feature, you may be able to:
- purchase additional usage;
- upgrade your subscription;
- wait for the relevant usage period to reset; or
- reduce your usage.
Where usage-based charges apply, applicable pricing should be disclosed before or in connection with the applicable service.
We will not intentionally impose undisclosed usage fees.
9. Cancellation and Termination by Customer
You may cancel your subscription through the available account settings or by contacting us where self-service cancellation is unavailable.
Unless otherwise stated:
- cancellation stops future renewal;
- your existing subscription remains active until the end of the paid billing period; and
- fees already paid are generally non-refundable except where required by law or expressly stated otherwise.
You should export any Customer Data you wish to retain before your account is terminated or deleted.
10. Customer Data
“Customer Data” means information, files, records, content, documents and other data submitted to, stored in or generated through the Services by or on behalf of the Customer.
As between Taskploy and the Customer, the Customer retains ownership of its Customer Data.
You grant Taskploy a limited right to process Customer Data as reasonably necessary to:
- provide the Services;
- maintain and secure the platform;
- prevent fraud and abuse;
- provide support;
- comply with applicable law;
- perform authorized integrations; and
- fulfil other purposes described in our Privacy Policy and applicable agreements.
Taskploy does not acquire ownership of Customer Data merely because it is stored or processed through the Services.
11. Your Responsibility for Customer Data
You are responsible for Customer Data submitted to the Services.
You represent and warrant that you have all rights, permissions, notices and consents reasonably necessary to collect, upload, process and use Customer Data through Taskploy.
This is particularly important where Customer Data includes information relating to:
- customers;
- employees;
- contractors;
- vendors;
- marketing recipients;
- financial transactions;
- communications; or
- other identifiable individuals.
You must not use Taskploy to collect or process information unlawfully.
12. Privacy and Data Protection
Our handling of personal information is described in our Privacy Policy.
Where Taskploy processes personal information on behalf of a Customer, additional data-processing terms may apply.
Customers are responsible for determining whether their use of the Services complies with privacy and data-protection laws applicable to their organization.
Where required, Customers must:
- provide appropriate privacy notices;
- obtain valid consent;
- honour applicable data rights;
- configure access appropriately; and
- enter into any required data-processing arrangements.
A Data Processing Agreement may be available for eligible Customers.
13. Security
Taskploy uses administrative, technical and organizational measures designed to protect the Services and Customer Data.
However, no internet-based service can guarantee absolute security.
Customers are responsible for reasonable account-security practices, including:
- protecting credentials;
- enabling available security features;
- assigning appropriate permissions;
- reviewing user access;
- protecting API keys and integration credentials; and
- notifying Taskploy of suspected unauthorized access.
Additional information is available on our Security page.
14. Acceptable Use
You must not use the Services to:
- violate applicable law or regulation;
- infringe intellectual-property, privacy or other rights;
- transmit malware, ransomware or harmful code;
- attempt unauthorized access to Taskploy or another user's systems or data;
- interfere with the security, availability or performance of the Services;
- probe or test vulnerabilities without authorization;
- send spam or unlawful marketing communications;
- engage in fraud, deception or impersonation;
- process unlawfully obtained personal information;
- distribute abusive, discriminatory, threatening or unlawful content;
- circumvent subscription, usage or security controls;
- reverse engineer the Services except where applicable law expressly permits it;
- scrape or extract data at a scale that interferes with the platform;
- resell access unless expressly authorized;
- use Taskploy to facilitate unlawful financial activity; or
- use the Services in a way that creates material risk to Taskploy, our infrastructure, our providers or other customers.
We may investigate suspected violations and take appropriate action.
15. Communications and Marketing Features
Taskploy may provide functionality for email, SMS, WhatsApp, telephone, social media and other communications.
You are responsible for your use of these features.
You must ensure that communications sent using Taskploy comply with applicable:
- anti-spam laws;
- marketing laws;
- consent requirements;
- privacy laws;
- telecommunications rules;
- sender-identification requirements; and
- unsubscribe or opt-out obligations.
Taskploy does not grant you permission to contact a person merely because that person's information exists in the Services.
You are responsible for maintaining appropriate evidence of consent where required.
16. Payments and Financial Features
Taskploy may provide functionality for:
- quotations;
- invoicing;
- expenses;
- approvals;
- payment records;
- online payments;
- subscriptions;
- payroll-related processes; and
- financial reports.
These tools are provided to assist with business administration.
Unless expressly stated otherwise, Taskploy is not:
- a bank;
- accounting firm;
- tax adviser;
- investment adviser;
- payroll regulator;
- money-transfer service; or
- financial institution.
Customers remain responsible for verifying financial information and complying with applicable accounting, tax, payroll, employment and regulatory obligations.
Online payment processing may be performed by third-party payment providers and may be subject to separate provider terms and fees.
17. Payroll and Employment Features
Taskploy may provide tools relating to employees, payroll, leave, attendance, overtime, benefits, loans and workforce administration.
Employment and payroll requirements vary by jurisdiction.
Customers are responsible for:
- determining applicable employment requirements;
- verifying payroll calculations;
- confirming deductions and contributions;
- meeting tax and statutory obligations;
- maintaining required employment records; and
- ensuring appropriate employee notices and consent.
Availability of payroll functionality may differ by country.
18. Artificial Intelligence Features
Certain Taskploy features may use artificial intelligence or machine-learning technologies (“AI Features”).
AI Features may assist with activities such as:
- drafting content;
- summarizing information;
- responding to routine questions;
- categorizing information;
- recommending next actions;
- supporting workflows; or
- providing conversational assistance.
AI Output
AI-generated information may be incomplete, inaccurate or inappropriate for a particular purpose.
You are responsible for reviewing AI-generated output before relying upon, publishing, sending or acting on it.
AI Features are not a substitute for qualified:
- legal advice;
- financial advice;
- medical advice;
- employment advice;
- tax advice; or
- other regulated professional advice.
Important decisions affecting individuals, including significant financial, employment, legal or customer decisions, should remain subject to appropriate human review.
AI Providers
Some AI functionality may rely on third-party providers.
Our Privacy Policy, Security documentation or applicable service documentation may identify relevant providers and explain how information is processed.
19. Third-Party Services and Integrations
The Services may integrate with third-party products such as:
- payment processors;
- accounting platforms;
- email providers;
- telecommunications providers;
- social-media platforms;
- calendar services;
- cloud services;
- AI providers; and
- other business applications.
Third-party services are not controlled by Taskploy.
Your use of them may be governed by separate terms, privacy policies and charges.
Taskploy is not responsible for third-party services, including their:
- availability;
- security;
- functionality;
- data practices;
- pricing; or
- changes to their products.
If you authorize an integration, you instruct us to exchange relevant information with that service as necessary to provide the integration.
20. Mobile Applications
Taskploy may make mobile applications available through third-party application stores.
Use of mobile applications may also be subject to applicable app-store terms.
Some functionality available on the web platform may not be available through the mobile application, and vice versa.
You are responsible for your mobile device, connectivity and any carrier charges.
21. Intellectual Property
Taskploy and its licensors retain all rights, title and interest in the Services, including:
- software;
- source code;
- designs;
- interfaces;
- trademarks;
- logos;
- documentation;
- workflows;
- templates; and
- other Taskploy technology and content.
Except for the limited right to use the Services under these Terms, no intellectual-property rights are transferred to you.
You may not copy, modify, distribute, sell, sublicense or create derivative commercial products from Taskploy except where expressly permitted.
22. Feedback
If you submit suggestions, ideas, recommendations or other feedback about Taskploy, you grant us permission to use that feedback without restriction or compensation to improve, develop and commercialize our products and services.
This does not give us ownership of your Customer Data.
23. Service Changes
We continually develop the Services.
We may:
- introduce new features;
- modify existing features;
- replace functionality;
- change interfaces;
- discontinue features; or
- modify technical requirements.
Where a change materially reduces core paid functionality, we will endeavour to provide reasonable notice where practical.
We may provide replacement functionality where appropriate but are not required to maintain every feature indefinitely.
24. Availability and Maintenance
We aim to provide reliable access to Taskploy, but continuous uninterrupted availability cannot be guaranteed.
The Services may be temporarily unavailable because of:
- scheduled maintenance;
- emergency maintenance;
- infrastructure failures;
- internet outages;
- third-party provider failures;
- security events;
- force majeure events; or
- circumstances beyond our reasonable control.
Enterprise Customers may have separate service-level commitments stated in an Order Form or Service Level Agreement.
25. Suspension
We may suspend access to all or part of the Services where reasonably necessary because:
- fees remain overdue;
- we reasonably suspect a security incident;
- an account appears compromised;
- use creates material risk to the platform;
- you materially violate these Terms;
- use appears unlawful;
- suspension is required by law; or
- a third-party provider necessary for a feature suspends relevant services.
Where reasonably practicable, we will notify you and provide an opportunity to resolve the issue.
We may act immediately when necessary to protect customers, data, infrastructure or legal obligations.
26. Termination by Taskploy
We may terminate these Terms or your access to the Services if:
- you materially breach these Terms and fail to remedy the breach within a reasonable period after notice;
- repeated violations occur;
- fraudulent or unlawful activity is identified;
- required payments remain unpaid;
- continued provision of the Services would violate law; or
- we discontinue the relevant Service.
Immediate termination may occur for serious security, fraud, abuse or unlawful-use violations.
27. Effect of Termination
When your subscription or account ends:
- your right to use the affected Services ends;
- unpaid amounts become due;
- integrations may stop operating; and
- Customer Data may become unavailable after the applicable retention period.
Where supported, Customers should export required data before termination.
We may retain certain information where reasonably necessary to comply with law, resolve disputes, prevent fraud, enforce agreements or maintain legitimate business records.
28. Data Export and Deletion
Taskploy may provide tools allowing Customers to export certain Customer Data.
Available export formats and capabilities may depend on the relevant module.
Following termination, Customer Data may be retained for a limited period before deletion or anonymization in accordance with our applicable retention practices.
Backup copies may remain for additional periods until they are overwritten through normal backup cycles.
Where legal retention obligations apply, information may be retained for longer.
29. Confidentiality
Each party may receive non-public information from the other that is identified as confidential or that reasonably should be understood to be confidential (“Confidential Information”).
Each party agrees to:
- use Confidential Information only for purposes related to the Services;
- protect it using reasonable safeguards; and
- disclose it only to personnel, contractors or advisers who need access and are subject to appropriate confidentiality obligations.
Confidential Information does not include information that:
- becomes public without breach of these Terms;
- was lawfully known without confidentiality restriction;
- is independently developed without use of the other party's Confidential Information; or
- is lawfully received from another source.
A party may disclose Confidential Information where required by law.
30. Warranties
Taskploy warrants that it will provide the Services with reasonable care and skill.
Except where prohibited by law and except for any express warranties stated in an applicable Order Form, the Services are otherwise provided on an “as available” basis.
We do not warrant that:
- the Services will always be uninterrupted;
- every error will be corrected;
- every feature will satisfy every business requirement;
- third-party integrations will remain available;
- AI output will always be accurate; or
- use of the Services will guarantee a particular commercial outcome.
Nothing in these Terms excludes rights or warranties that cannot legally be excluded.
31. Limitation of Liability
To the maximum extent permitted by applicable law, neither party will be liable to the other for indirect, incidental, special, exemplary, punitive or consequential damages, or for loss of profits, revenues, goodwill or anticipated savings arising from these Terms or the Services.
To the maximum extent permitted by law, Taskploy's aggregate liability arising out of or relating to the Services will not exceed the total fees paid or payable by the Customer to Taskploy for the affected Services during the 12 months immediately preceding the event giving rise to the claim.
The limitations in this section do not apply where liability cannot lawfully be limited or excluded.
An applicable Order Form may provide different liability terms for Enterprise Customers.
32. Indemnification
You agree to indemnify and defend Taskploy, its affiliates, officers, directors and personnel against third-party claims, losses, damages and reasonable costs arising from:
- your unlawful use of the Services;
- Customer Data that infringes another person's rights;
- communications sent through your account in violation of law;
- your material breach of these Terms; or
- your violation of applicable law.
Taskploy will provide reasonable notice of a covered claim and reasonable cooperation in the defence.
Enterprise agreements may include separate mutual indemnification provisions.
33. Force Majeure
Neither party will be liable for delay or failure caused by events beyond its reasonable control, including natural disasters, widespread internet outages, telecommunications failures, labour disruptions, government action, war, civil unrest, epidemics, major cloud-provider outages or similar events.
Payment obligations already incurred are not excused by this section.
34. Changes to These Terms
We may update these Terms as the Services, laws or business requirements change.
When we make material changes, we will provide reasonable notice through methods such as:
- email;
- an in-product notification; or
- a notice on our website.
The updated Terms will state their effective date.
Where required by law, we will obtain additional consent before applying material changes.
Continuing to use the Services after updated Terms become effective constitutes acceptance to the extent permitted by law.
35. Notices
Taskploy may send contractual or service notices to the email address associated with your account or through the Services.
You are responsible for maintaining a current email address.
Legal notices to Taskploy should be sent to:
Taskploy Technologies Inc.
Email: legal@taskploy.com
General customer support enquiries may be sent through our Contact or Help Centre pages.
36. Governing Law
These Terms are governed by the laws of Ontario, Canada, and the federal laws of Canada applicable there, without regard to conflict-of-law principles.
Subject to any rights or procedures that cannot legally be excluded, the parties submit to the exclusive jurisdiction of the courts located in Toronto, Ontario.
If applicable consumer-protection law gives an individual mandatory rights to bring proceedings in another jurisdiction, this section does not override those rights.
37. Dispute Resolution
Before commencing formal legal proceedings, each party agrees to make reasonable efforts to resolve disputes informally.
A party may provide written notice describing:
- the issue;
- relevant facts;
- the requested resolution; and
- contact information.
The parties will attempt in good faith to resolve the dispute for at least 30 days after notice unless urgent court relief is reasonably necessary.
Nothing in this section prevents either party from seeking injunctive or other urgent relief where appropriate.
38. Assignment
You may not assign or transfer these Terms without our prior written consent, except as part of a permitted corporate reorganization, merger or sale of substantially all relevant business assets, provided the successor agrees to assume your obligations.
Taskploy may assign these Terms as part of a merger, acquisition, corporate reorganization or sale of its business or assets.
39. Order Forms and Additional Terms
If you purchase Services through an Order Form, enterprise agreement or other written agreement, those documents form part of the agreement between you and Taskploy.
If there is a conflict:
- an expressly negotiated Order Form or enterprise agreement controls;
- applicable supplemental product terms apply next; and
- these Terms apply thereafter,
unless the relevant document states otherwise.
40. Entire Agreement
These Terms, together with the documents expressly incorporated into them, constitute the entire agreement between Taskploy and the Customer concerning the Services unless a separate written agreement applies.
They replace prior agreements, representations or understandings concerning the same subject matter.
41. Severability
If any provision of these Terms is found unenforceable, the remaining provisions remain effective.
The unenforceable provision will be interpreted or modified only to the extent necessary to make it enforceable where legally permissible.
42. Waiver
A failure or delay in enforcing a provision of these Terms does not waive the right to enforce it later.
A waiver is effective only when clearly communicated by the party granting it.
43. No Partnership or Agency
These Terms do not create a partnership, employment relationship, joint venture, franchise or agency relationship between Taskploy and the Customer.
Neither party has authority to bind the other unless expressly agreed in writing.
44. Survival
Provisions that by their nature should continue after termination will survive, including provisions concerning:
- payment obligations;
- intellectual property;
- confidentiality;
- Customer Data;
- limitations of liability;
- indemnification;
- dispute resolution; and
- governing law.
